This Agreement outlines the complete terms and conditions for participation in the **United Strains of America Affiliate Program** (hereafter referred to as "the Program"). As used in this Agreement, "we," "our," or "us" refers to **United Strains of America**, and "you" or "your" refers to the affiliate applicant. The term "Site" refers to a website, including either **www.UnitedStrainsOfAmerica.com** or the website(s) specified in your affiliate application through which you intend to link to our platform.

# 1. Enrollment in the Program
To enroll, you must submit a complete application through our website. We reserve the right to accept or reject any application at our sole discretion. Applications may be rejected if your website or marketing methods are deemed unsuitable, including but not limited to:
- Promotion of sexually explicit content
- Promotion of violence or hate speech
- Promotion of discrimination (race, gender, religion, nationality, disability, sexual orientation, age)
- Promotion of illegal activities
- Inclusion of “United Strains,” its variants, or similar misspellings in domain names or ad campaigns
- Violation of any third-party intellectual property rights
We do **not accept** coupon or discount code sites into this program. Any such applications will be automatically rejected.
Affiliates are **not allowed** to use our brand name (or other cannabis business brand names) in paid search campaigns, including Google Ads. For example, using keywords like "United Strains of America" or similar in ads is strictly prohibited and may lead to termination.
If your application is rejected, you may reapply at any time. If accepted, we reserve the right to terminate your participation later if your site or practices become unsuitable.

# 2. Links on Your Site
You will be provided with special tracking links ("Affiliate Links") upon acceptance into the Program. You must ensure that all links between your site and ours use these Affiliate Links. Only sales generated through properly formatted Affiliate Links will be eligible for referral fees.
By participating, you authorize us to access and utilize analytics related to user interactions between your site and ours for tracking and program optimization purposes.

# 3. Order Processing
We handle all order processing, including payment collection, cancellations, returns, and customer support. We reserve the right to reject any order that violates our policies.
You will receive reports on transactions generated through your Affiliate Links. The format and frequency of these reports are subject to change at our discretion.

# 4. Referral Fees
You will earn referral fees in accordance with Sections 5 and 6. To qualify:
- The customer must use an Affiliate Link to visit UnitedStrainsOfAmerica.com
- The purchase must occur within **14 days** of the initial click
- Payment and shipment must be completed
Self-referrals (using your own affiliate links to purchase for personal or commercial use) are not allowed and may lead to fee forfeiture or termination.
Fraudulent activity, including false clicks or misleading promotions, will result in disqualification and possible legal action.

# 5. Referral Fee Schedule
Your referral fees will be based on **Qualifying Revenue**, defined as gross sales **excluding** taxes, shipping, service fees, payment processing fees, returns, and bad debt.
Current rates and bonus opportunities will be made available in your affiliate dashboard.

# 6. Referral Fee Payment
Payments are made monthly, around the 15th of each month, via bank transfer.
- You must provide accurate payment details in your account settings
- A **minimum threshold of $100** applies; amounts below this will roll over
- If a sale is refunded or canceled, associated referral fees will be deducted from future payments
- If your account remains negative for more than 90 days, we may invoice you for the difference

# 7. Policies and Pricing
All customers acquired through your links are considered United Strains of America customers and will be subject to our policies and pricing structures, which may change at any time without notice.

# 8. Representing Yourself
You may not publicly misrepresent or overstate your relationship with United Strains of America. Press releases and public statements require our written consent.
You may not suggest sponsorship, endorsement, or financial contribution from us without explicit permission.

# 9. Limited License
We grant you a limited, non-exclusive, revocable license to use our logos, banners, and marketing assets for promotional use only.
You may **not** alter our creative assets in any way unless given permission. All rights to branding, trademarks, and content remain our exclusive property.

# 10. Your Responsibilities
You are solely responsible for:
- Your website’s content, operation, and maintenance
- Ensuring your promotions are compliant with all applicable laws and third-party rights
- Making clear how you handle visitor data through privacy policies or other disclosures
- Ensuring that cookies and tracking methods are compliant with applicable privacy laws (such as GDPR/CCPA)
You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from your site or conduct.

# 11. Term & Termination
This agreement begins upon our approval of your application and continues until either party terminates it.
You or we may terminate the agreement at any time, with or without cause, by providing written notice (email is sufficient).
Upon termination, you must immediately remove all links, logos, and brand assets from your site and cease any association with United Strains of America.
Final payments may be delayed to ensure accuracy.

# 12. Modification
We reserve the right to modify this agreement or the Program structure at any time by updating the terms on our website.
Continued participation after changes constitutes acceptance. If you do not agree to the new terms, your only option is to terminate your participation.

# 13. Relationship of Parties
This agreement does not create a partnership, joint venture, or employment relationship. You are an independent contractor.
You have no authority to represent or bind United Strains of America in any way.

# 14. Limitation of Liability
We are not liable for indirect or consequential damages, including lost profits or data. Our aggregate liability is limited to the referral fees paid to you in the preceding 12 months.

# 16. Independent Evaluation
You affirm that you have read, understood, and independently evaluated this agreement. You are not relying on any representation not explicitly stated herein.
We may operate affiliate campaigns or own sites that compete with yours.

### 17. Governing Law
This Agreement is governed by the laws of the **State of California**, United States, without regard to conflict-of-law principles.
You may not assign this Agreement without our prior written consent. Any attempted assignment without consent is void.
